Derivative Actions were brought by Twitter stockholders on behalf of Twitter and are pending in the Court of Chancery of the State of Delaware (the “Court”) and
the United States District Court for the District of Delaware. If the Court approves the Settlement, it will resolve all claims brought, or that could have brought, in the Derivative Actions.
